Welcome to PolyChat, a mobile application provided by TokenShop LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of PolyChat, including any content, functionality, and services offered through the PolyChat application, whether as a free user or a PolyChat PRO subscriber (collectively, "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Services.
By using PolyChat, you represent that you are at least 18 years old or have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
PolyChat enables users to interact with open-source large language models (LLMs) running locally on their devices, ensuring complete privacy and local operation. We do not collect user data, and no account creation is required to use the Services. Each open-source model is subject to its respective license, which we display within the PolyChat application. Users can access basic features for free, while PolyChat PRO, available through monthly or yearly subscriptions, provides access to additional models with advanced reasoning capabilities.
PolyChat PRO is a paid tier offering access to enhanced models with reasoning capabilities. Subscriptions are available on a monthly or yearly basis. Payments are processed through third-party payment processors, and you agree to their terms and conditions. All subscription fees are non-refundable, except as required by applicable law.
You may cancel your PolyChat PRO subscription at any time through the application. Upon cancellation, you will retain access to PRO features until the end of the current billing cycle. No partial refunds will be provided.
PolyChat operates entirely locally on your device. We do not collect, store, or process any personal data, user inputs, or outputs generated through your use of the Services. All interactions with the LLMs occur on your device, and no data is transmitted to us or any third party, ensuring maximum privacy.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the PolyChat application for personal or commercial purposes, as applicable. All rights not expressly granted are reserved by TokenShop LLC.
PolyChat integrates open-source LLMs, each governed by its own license, as displayed in the application. You agree to comply with the terms of each model's license when using it through PolyChat. We do not claim ownership of these models and are not responsible for their content, performance, or compliance with their respective licenses.
Any input you provide to PolyChat, including prompts and chats ("User Content"), remains on your device and is not collected or stored by us. You retain all rights to your User Content and are responsible for ensuring its compliance with applicable laws and model licenses.
You agree to use PolyChat in compliance with all applicable laws and these Terms. You will not:
PolyChat and the open-source models are provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure, nor do we warrant the accuracy, reliability, or suitability of the open-source models for any purpose.
To the fullest extent permitted by law, TokenShop LLC, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services. Our total liability for any claim related to these Terms or the Services will not exceed the amount you paid for PolyChat PRO in the twelve (12) months preceding the claim, or $100 if you are a free user.
We are not liable for any damages or losses arising from your use of open-source models, including but not limited to issues related to their performance, output, or compliance with their licenses. You assume all risks associated with using these models.
You agree to indemnify, defend, and hold harmless TokenShop LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with:
PolyChat may integrate or link to third-party services, such as payment processors or open-source model providers. We are not responsible for the availability, accuracy, or practices of these third parties, and your use of their services is subject to their respective terms and policies.
We may suspend or terminate your access to PolyChat at our sole discretion, with or without notice, if you violate these Terms or for any other reason, including but not limited to operational or legal considerations. Upon termination, your right to use the Services will cease, but these Terms' provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and governing law will survive.
We may update these Terms from time to time to reflect changes in our Services or applicable laws. We will notify you of material changes by posting the updated Terms in the PolyChat application. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TokenShop LLC regarding the Services and supersede any prior agreements.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
